EquifyFund Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of EquifyFund's platform, services, and all associated applications (collectively, the “Platform”). By accessing or using EquifyFund, you agree to be legally bound by these Terms.

Please read them carefully. If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.

1. Acceptance of Terms

By using the EquifyFund Platform, you:

  • Represent that you are at least 18 years of age or the age of majority in your jurisdiction

  • Have the legal capacity to enter into a binding agreement

  • Agree to comply with all applicable laws and regulations

  • Accept and agree to be bound by these Terms, our Privacy Policy, and any applicable investment agreements

All offerings are subject to eligibility, due diligence, and applicable investment terms.

3. Eligibility & Registration

To access investment opportunities:

  • You must create an account and complete identity verification (KYC/AML)

  • You may be required to certify as an accredited investor, depending on jurisdiction and offering type

  • You agree to provide accurate, complete, and updated information during registration

  • You are solely responsible for safeguarding your account credentials

EquifyFund reserves the right to reject or terminate any account that does not meet compliance requirements.

4. Investment Risks

All investments carry risk. By using EquifyFund, you acknowledge and agree that:

  • Investments may lose value and returns are not guaranteed

  • Past performance does not guarantee future results

  • Illiquidity is inherent to most private-market investments

  • You are solely responsible for evaluating the suitability of any investment based on your objectives and risk tolerance

  • EquifyFund is not liable for losses incurred due to market volatility, delays, or third-party performance

We recommend consulting a licensed financial advisor before making any investment decisions.

5. Platform Use & Restrictions

You agree not to:

  • Use the Platform for unlawful, deceptive, or fraudulent purposes

  • Impersonate any person or misrepresent your identity

  • Interfere with the security, functionality, or integrity of the Platform

  • Attempt to reverse-engineer or modify any part of the Platform’s code or systems

  • Engage in abusive behavior toward EquifyFund staff or other users

We reserve the right to suspend or terminate your access at any time for violation of these Terms.

6. Fees & Payments

Investment-related fees (e.g., management fees, performance fees, transaction charges) will be disclosed in the offering documents or investor agreement.

  • You agree to pay any applicable fees promptly

  • Failure to pay may result in forfeiture of access or termination of investment privileges

  • All financial transactions are processed securely, but EquifyFund is not responsible for payment failures due to third-party systems

7. Intellectual Property

All content on the EquifyFund Platform—including logos, trademarks, graphics, articles, software, and data—is the property of EquifyFund or its licensors, and is protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content without prior written permission.

8. Confidentiality & Privacy

You agree to maintain the confidentiality of any non-public information obtained through EquifyFund, including investment details, user data, and financial disclosures.

Use of personal data is governed by our Privacy Policy, which outlines how we collect, store, and protect user information.

9. Disclaimer of Warranties

EquifyFund provides its services on an “as-is” and “as-available” basis. We do not guarantee that:

  • The Platform will be error-free or uninterrupted

  • Any investment will achieve a particular return

  • Information provided is always complete, accurate, or timely

To the fullest extent permitted by law, we disclaim all warranties—express or implied—including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, EquifyFund and its affiliates, directors, employees, and partners shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages

  • Losses resulting from user decisions, investment outcomes, or data breaches

  • Delays or failures due to force majeure events (e.g., natural disasters, government action, cyberattacks)

Our total liability shall not exceed the amount you paid (if any) for using the services in the prior 12 months.

11. Third-Party Services

EquifyFund may integrate or link to third-party platforms, such as custodians, payment gateways, or identity verification services. These third-party services are governed by their own terms and privacy policies.

We are not responsible for the content, functionality, or practices of third-party services.

12. Termination

We may suspend or terminate your access to the Platform if:

  • You violate any of these Terms

  • You engage in fraudulent or harmful behavior

  • Required by law or regulatory authority

Termination does not affect any existing investment commitments or obligations.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria, or applicable jurisdiction based on your residency.

Disputes will be resolved through:

  • Initial good-faith negotiation

  • If unresolved, binding arbitration under the relevant legal authority

  • Courts of competent jurisdiction shall have final authority if arbitration fails

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform alerts. Continued use of the Platform after changes constitutes your acceptance of the updated Terms.
